Actions of the NAB Board of Directors

Joint Board of Directors
February 1-2, 2011

Call to Order
NAB Joint Board Chairman Steve Newberry, president and CEO of Commonwealth Broadcasting, called the meeting to order. After a call of the roll, the minutes of the October 2010 board meeting were approved. Newberry announced that Radio Board member Bobby Caldwell, owner and CEO, East Arkansas Broadcasters, Inc. and Television Board member John Kueneke, president, News-Press & Gazette Broadcasting are departing from the NAB Board, each following three consecutive terms of service.

Reports from the Joint Board Chair and President and CEO
NAB Joint Boar Chair Steve Newberry and NAB President and CEO Gordon Smith updated the board on association activities, including legislative and regulatory issues facing the broadcast business. Smith stressed the importance of advocacy and provided the board with his insight on specific legislative and regulatory issues related to broadcasting, including proposals to reallocate broadcast TV spectrum for wireless broadband devices, retransmission consent policy developments and a re-cap of performance tax legislation, which failed to pass Congress last year.

Government Relations
NAB Executive Vice President of Government Relations Laurie Knight updated the board on leadership changes with the new Congress. She also outlined challenges that NAB will face on issues related to the FCC's National Broadband Plan, retransmission consent, the performance fee issue and advertising-related legislation.

Legal and Regulatory Affairs
NAB Executive Vice President of Legal and Regulatory Affairs Jane Mago provided a brief update to the board on issues related to spectrum reallocation, ownership rules, content regulation and the Emergency Alert System (EAS).

Technology
NAB Senior Vice President of Science and Technology Lynn Claudy updated the board on advances in technologies observed at CES including mobile DTV, 3D TV, Internet-enabled TV, HD and Internet radio.

NABPAC
NAB Political Action Committee Chairman Larry Patrick reported NABPAC fundraising is up 33 percent from 2009, but still lags behind other industries that would like to reclaim broadcast TV spectrum and change retransmission consent policies.

NABEF
NAB Executive Vice President of Television and NABEF President Marcellus Alexander updated the board on the NAB Education Foundation's initiatives and presented a revised mission statement for the foundation.

Public Service Initiatives and Third Party Advocacy
Executive Vice President of Communications Dennis Wharton detailed NAB's efforts to influence policymakers and public opinion by leveraging relationships with charitable organizations. Executive Vice President of Strategic Planning Chris Ornelas reported on NAB's progress in building relationships with third party activist groups and think tanks.

NAB Show Update
NAB Executive Vice President of Conventions and Business Operations Chris Brown updated the Board on the status of the 2011 NAB Show, which will be held April 9-14, 2011 in Las Vegas.

Television Board of Directors
February 1, 2011

Call to Order
Television Board Chairman Paul Karpowicz, president of Meredith Corporation Broadcasting Group, called the Television Board to order. After a call of the roll, minutes of the October 2010 board meeting were approved.

Legal and Regulatory Affairs
Jane Mago provided the TV Board with an update on several FCC-related issues including National Broadband Plan proposals for reallocating broadcast TV spectrum for wireless broadband use. Mago also discussed the potential for and FCC Notice of Proposed Rule Making on retransmission consent, enforcement of the Satellite Television Extension and Localism Act (STELA) and white space policy.

Government Relations
Laurie Knight provided the TV Board with an update on legislative issues, including retransmission consent, advertising and debates surrounding efforts to reclaim broadcast spectrum.

"The Future of TV" Campaign
NAB Executive Vice President of Marketing Michelle Lehman updated the board on NAB's Future of TV Campaign which has launched an aggressive advertising campaign and a dedicated website highlighting broadcasting's vibrant digital future.

Mobile DTV
Lynn Claudy updated the TV Board on initiatives of the Open Mobile Video Coalition and the status of the the rollout of live and local mobile DTV. Claudy noted a recent study demonstrating strong consumer interest for mobile TV, particularly live, local news content.

TV Membership and Events
Marcellus Alexander updated the TV Board on upcoming television activities, NAB Show programming and membership initiatives. Alexander noted that the NAB Futures Summit will be held Oct. 26-28 at The Ritz-Carlton in Half Moon Bay, Calif.

Radio Board of Directors
February 2, 2011

Call to Order
NAB Radio Board Chairman Caroline Beasley, executive vice president and CFO, Beasley Broadcast Group, called the meeting to order. After roll call, the minutes of the October 2010 board meeting were accepted.

Performance Fee Legislation Update
Gordon Smith thanked the board for their support in negotiating a win on performance fee legislation last year and discussed advocacy strategies for moving forward.

Technology Update
Lynn Claudy gave a technology update on Internet radio, streaming and HD Radio and future realities of "connected" or "hybrid" radio.

HD Radio
Lane Burns, vice president, Portable Products Business Development at iBiquity Digital briefed the Radio Board on HD Radio value proposition in connected mobile devices - social networking, interactive advertising, music tagging, enhanced content – and relevant apps.

Legislative and Regulatory Update
Laurie Knight provided the Radio Board with an update on continued advocacy on the benefits of radio enabled cell phones and recapped NAB's involvement in final passage of low-power FM legislation. Jane Mago discussed the FCC's implementation of LPFM and next steps in FM translator rulemaking.

Radio Membership and Events
NAB Executive Vice President of Radio John David provided an update to the Radio Board on membership initiatives and upcoming events. David noted the Radio Show will take place September 14 - 16, 2011, in Chicago, Ill.
